Assistant General Counsel – Private Credit | Global Investment Management

Base Salary: $200,000 - $260,000
A leading global investment management firm is seeking an Assistant General Counsel – Private Credit to join its Legal team. This is a highly visible role supporting a sophisticated private credit investment platform across private placements, bank loans, asset-backed securities, infrastructure investments, and other alternative credit strategies.
This is an excellent opportunity for an attorney with strong corporate finance, private credit, leveraged finance, or bank loan experience who wants to work directly with investment professionals and play a meaningful role in evaluating, structuring, negotiating, and closing complex private market transactions.
Key Responsibilities
- Serve as the primary legal partner to a private credit investment team.
- Draft, review, and negotiate private credit, bank loan, private placement, and other investment-related documentation.
- Advise investment professionals on legal risk, deal structure, amendments, consents, waivers, and transaction execution.
- Support the full lifecycle of private credit and bank loan investments, from initial review through closing and ongoing portfolio activity.
- Review credit agreements, note purchase agreements, purchase and sale agreements, amendments, and related transaction documents.
- Partner cross-functionally with portfolio management, legal, compliance, operations, tax, product, and fund services teams.
- Review deal data rooms for potential MNPI and advise on appropriate insider trading protocols.
- Help refine legal processes, procedures, controls, and documentation standards supporting private credit activity.
Qualifications
- J.D. and active membership in at least one state bar; Massachusetts bar preferred.
- Corporate finance legal experience from a law firm, asset manager, investment adviser, or corporate transactional legal group.
- Experience drafting, reviewing, and negotiating complex commercial loan, private credit, private placement, or investment-related documents.
- Exposure to private credit, bank loans, private placement bonds, asset-backed securities, infrastructure, specialty lending, or related strategies strongly preferred.
- Practical, business-oriented approach with strong intellectual curiosity and interest in private markets.
