Manager – M&A Advisory & Forensic Accounting

Base Salary: $150,000 - $175,000
We are seeking a sharp Transaction Advisory / Forensic Accounting professional to help lead buy-side and sell-side diligence engagements for private equity, lender, and corporate clients. This is a high-impact role for someone who enjoys digging into financial and operational results, identifying key deal issues, advising clients through complex transactions, and turning accounting and performance data into clear insights that support investment decisions.

Broad responsibilities:
- Manage buy-side and sell-side financial due diligence engagements for private equity, lender, and corporate clients
- Analyze financial and operational results of target companies through accounting record review, data analysis, and management interviews
- Examine historical financial trends and investigate significant fluctuations, non-recurring items, and period-over-period performance drivers
- Assist in identifying key transaction issues, including quality of earnings, working capital considerations, debt and debt-like items, and other purchase agreement implications
- Evaluate potential areas for purchase price reductions, deal restructuring, or deal termination
- Help clients identify pre-acquisition and post-acquisition transaction issues
- Identify post-acquisition steps to achieve anticipated earnings and cash flow improvements
- Manage and contribute to complex areas of the report-writing process
- Prepare clear, well-supported diligence findings and materials for client discussions and transaction decision-making
- Build and maintain strong client relationships with private equity, corporate, lender, and advisor stakeholders
- Identify new business opportunities and contribute to long-term business development efforts
- Mentor, develop, and review the work of analysts, senior associates, and other team members
Qualifications:
- Relevant experience of related accounting, finance, transaction advisory, financial due diligence, audit, or professional services experience
- CPA certification preferred
- Public accounting experience strongly preferred
- Strong understanding of financial statements, accounting principles, quality of earnings, working capital, and transaction-related analyses
- Demonstrated analytical, problem-solving, and financial analysis skills
- Experience reviewing accounting records, analyzing historical trends, and identifying non-recurring or unusual items
