Senior Corporate Counsel
Location: Boston, Massachusetts
Workspace Type: Hybrid
We’re partnering with a global, publicly traded life sciences manufacturing company on a Senior Corporate Counsel. The position is being added as the company continues to grow, expand its presence in the U.S. market, and navigate the increasing complexity that comes with operating as a global public company. The company is targeting a March 2027 start date.
Reporting directly to the General Counsel, this attorney will join a broader Legal team with professionals across the United States and Italy. The role is expected to focus primarily on SEC reporting, public-company governance, disclosure matters, and related corporate legal responsibilities.
The attorney will work closely with senior leaders across Legal, Finance, Investor Relations, Internal Audit, and other functions as the company continues to strengthen and expand its U.S. public-company capabilities. This is a strong opportunity for a corporate and securities attorney who enjoys working across functions, taking ownership of important public-company matters, and helping support the continued growth of an international organization.
Key Responsibilities
- SEC reporting and disclosure: Support the preparation and legal review of SEC filings, including Forms 20-F, 6-K, and other public-company disclosures.
- Earnings and investor communications: Review earnings releases, investor presentations, financial disclosures, and other external communications for consistency with the company’s SEC filings and disclosure obligations.
- Corporate governance: Support board and committee matters, corporate policies, governance documentation, and other responsibilities related to operating as a publicly traded company.
- Disclosure controls and compliance: Partner with Finance, Investor Relations, Internal Audit, and other stakeholders on disclosure controls, reporting processes, certifications, and public-company compliance.
- Insider reporting and trading compliance: Assist with Forms 3, 4, and 5, insider-trading policies, transaction preclearance, equity-related reporting, and other director and officer compliance matters.
- Legal research and advisory support: Monitor developments in SEC rules, NYSE requirements, securities laws, and corporate governance practices, and advise internal stakeholders on their impact.
- Process improvement: Help strengthen legal and disclosure processes, documentation, calendars, and internal coordination as the company continues to expand its U.S. public-company infrastructure.
