Investment Compliance Director, Public & Private Credit

Base Salary: $160,000 - $200,000

We’re looking for an Investment Compliance Director to join the credit platform of a highly regarded global alternative investment firm. This is a senior, highly visible role supporting a sophisticated mix of registered and private credit vehicles, including direct lending strategies, private funds, separately managed accounts, and structured credit vehicles.

The Director will take meaningful ownership of the compliance program across the credit business, with particular responsibility for Investment Company Act and Investment Advisers Act requirements. The role sits close to the investment process and requires someone who can work directly with portfolio managers, deal teams, Finance, Operations, Legal, and senior leadership on both transaction-specific questions and broader regulatory matters.

The Director will be involved in live investment activity, board and governance matters, regulatory examinations, program development, and complex questions involving co-investments, affiliated transactions, and fund structures.

Key Responsibilities

  • Investment compliance: Lead pre-transaction compliance reviews across credit investments, including co-investment activity, affiliated transactions, and other requirements under the Investment Company Act.
  • Registered fund oversight: Own key elements of the firm’s Rule 38a-1 compliance framework and related Investment Advisers Act Rule 206(4)-7 responsibilities across registered credit vehicles.
  • Credit business partnership: Work directly with portfolio managers and deal teams throughout the investment lifecycle, helping resolve compliance questions without unnecessarily slowing transaction execution.
  • Board and governance reporting: Prepare quarterly and annual compliance materials for fund boards and senior leadership and participate in discussions with independent directors.
  • Private fund compliance: Provide compliance oversight across private credit funds and other investment vehicles, including Advisers Act requirements, expense allocation, cross-trade procedures, and operating processes.
  • Regulatory matters: Help lead SEC and other regulatory examinations, inquiries, annual compliance reviews, testing initiatives, and examination-readiness efforts.
  • Policies and program development: Identify emerging risks or gaps and develop policies, controls, testing procedures, and processes that strengthen and scale the compliance program.
  • External oversight: Manage relationships with outside counsel, consultants, fund service providers, and other third parties supporting the compliance program.
  • Leadership and influence: Provide guidance to junior compliance professionals and drive initiatives across the organization as a senior individual contributor.

Qualifications

  • Relevant experience of compliance experience within an investment adviser, registered fund complex, private fund manager, asset management law practice, regulatory agency, or similarly sophisticated investment environment
  • Strong knowledge of the Investment Company Act of 1940 and Investment Advisers Act, including Rule 38a-1, Rule 206(4)-7, affiliated transactions, fund governance, and co-investment requirements
  • Experience designing, managing, or materially supporting a registered fund compliance program; BDC experience is particularly valuable
